DigiCare Terms of Business
1. Definitions
"Customer" means the person ordering Products from the
Company on or using this website
"the Company" means DigiCare Limited (Registered Number
5102648) whose registered office is at Unit C Stafford Park 12 Telford
TF3 3BJ
"Products" means goods or services including but not limited
to consumable items for electronic equipment and extended warranty
or maintenance contracts for electronic equipment
"Working days" means Monday to Friday, excluding Bank
or other public holidays
2. Orders
(A) All orders are subject to availability and confirmation by the
Company
(B) The Customer is responsible for checking the suitability of
the Product ordered as once an order is received by the Company
it may not be cancelled
3. Delivery
(A) It is the Company's intention to deliver all Products within
three Working Days of receipt of the order but any time or date
stated for the delivery of Products is an estimate only provided
that the Company will take all reasonable steps to deliver Products
as soon as is practicable
(B) Time shall not be of the essence under any agreement the subject
of these terms and conditions
(C) Delivery of the Products is deemed to take place when the Products
are delivered to the Customer's nominated address, whereupon the
risks of loss, breakage and all damage shall pass to the Customer
4. Price
(A) All orders are invoiced at the price prevailing at time of order.
(B) All prices are subject to change without notice but no Customer
shall be obliged to accept delivery of any Products subject to a
price greater than that quoted on this Website unless the Customer
has consented to the same
5. Payment
(A) Subject always to the discretion of the company, no order shall
be dispatch prior to the Company receiving payment in full in cleared
funds
(B) Prior to payment for any Product, that Product shall remain
the property of the Company
6. Specification
The Company shall use all reasonable efforts to supply the Products
as advertised but is subject to and accepts no liability for any
change in any manufacturer's specification and any direct or indirect
loss arising from such change
7. Returns
(A) The Company shall only accept the return of any Product after
delivery in circumstances where the Company is in breach of warranty
(B) The Customer is responsible for ensuring that any returned Product
is properly wrapped and is returned with its original packaging
8. Liability
(A) The Company's liability in respect of breach of the terms of
any order shall be limited to the invoiced value of such order
(B) The Company shall not be liable for any loss of profit nor any
indirect or consequential loss or damage of any nature whatsoever
(C) Nothing in these terms limits the Company'sliability for death
or personal injury caused by its negligence nor any liability to
the Customer as a Consumer save as permitted by law
9. General
(A) If any provision in these terms is invalid or unenforceable,
it shall be deemed severed from any contract between the Customer
and the Company and this shall not affect the validity or enforceability
of any remaining provisions
(B) Save with respect to fraudulent misrepresentation, these terms
and conditions constitute the entire agreement between the Company
and the Customer and replace all previous written or oral agreements
(C) These terms and conditions may be varied at any time by the
Company and only those terms and conditions current at the time
of contract between the Company and the Customer shall apply to
that contract
(D) These terms and conditions shall be governed by and construed
in accordance with the laws of England and the Company and the Customer
submit to the exclusive jurisdiction of the English courts.
